Acceptance of Terms

By accessing or using the Climb website located at climb.ai (the "Site"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Site.

These Terms apply to all visitors, users, and others who access or use the Site. Climb Group, Inc. ("Climb," "we," "us," or "our") reserves the right to update these Terms at any time. Continued use of the Site following any changes constitutes your acceptance of the revised Terms.

Services

Climb is a data and AI consultancy that helps enterprises design, build, and operationalize data platforms and artificial intelligence capabilities. The Site is an informational resource and point of contact for prospective and current clients.

Engagement of our consulting services is governed by separate professional services agreements entered into between Climb and the applicable client. Nothing on this Site constitutes an offer to provide services, and no consulting relationship is formed by your use of the Site alone.

Use of the Site

You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of the Site by, any third party.

You must not: (1) use the Site in any way that violates applicable local, national, or international laws or regulations; (2) transmit unsolicited or unauthorized advertising or promotional material; (3) attempt to gain unauthorized access to any part of the Site, server, or database connected to the Site; or (4) introduce viruses, trojans, worms, logic bombs, or other material that is malicious or technologically harmful.

We reserve the right to suspend or terminate access to the Site for any user who violates these Terms.

Intellectual Property

The Site and its entire contents, features, and functionality — including all text, graphics, logos, icons, images, audio clips, and software — are the exclusive property of Climb Group, Inc. or its licensors and are protected by United States and international intellectual property laws.

You may view and print pages from the Site for your own personal, non-commercial use. No other use is permitted without our express prior written consent. The Climb name, logo, and all related marks, names, and indicia are trademarks of Climb Group, Inc.

Confidentiality

Any information you submit to Climb through the Site — including through our contact or inquiry forms — may be used by us in connection with evaluating a potential business relationship. Such information will be treated with reasonable confidentiality, but the Site is not a secure channel and you should not transmit highly sensitive information through it.

Obligations of confidentiality with respect to client engagements are governed exclusively by the applicable professional services agreement.

Disclaimer of Warranties

THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Site will be uninterrupted or error-free, that defects will be corrected, or that the Site or the servers that make it available are free of viruses or other harmful components. We make no warranties as to the accuracy, reliability, completeness, or timeliness of any information on the Site.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CLIMB GROUP, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES — ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE.

In jurisdictions that do not allow the exclusion or limitation of certain damages, our liability is limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless Climb Group, Inc. and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site.

Governing Law

These Terms and any disputes arising out of or related to them or the Site shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law provisions.

Any legal action or proceeding relating to your access to, or use of, the Site or these Terms shall be instituted in a state or federal court in Delaware. You agree to submit to the personal jurisdiction of such courts.

We may revise these Terms at any time by updating this page. The date of the most recent revision will be indicated at the top of this page. We encourage you to review these Terms periodically. Your continued use of the Site after any changes constitutes your acceptance of the new Terms.
